State selection
Should I form my LLC in Delaware or my home state?
Form in Delaware only if you plan to raise venture capital or build a multi-member structure. For most solo founders and small businesses operating in one state, forming in your home state is simpler and cheaper.
What is the cheapest state to form an LLC in?
Wyoming is typically the cheapest state for ongoing LLC costs: a $100 state filing fee and a $60 minimum annual report. Home-state formation is almost always cheaper overall than forming out-of-state.
Formation process
How long does it take to form an LLC?
Most U.S. LLCs are approved in 1 to 10 business days. Wyoming and Florida are usually fastest, Delaware and New York run longer, and expedited filing is available in every state for an extra fee.
Do I need an EIN to open a U.S. business bank account?
Yes. Every U.S. bank requires an EIN from the IRS before it will open a business account for an LLC. You apply for the EIN after the state approves your Articles of Organization.
International founders
Can non-U.S. residents form a U.S. LLC?
Yes. Non-U.S. residents can form a U.S. LLC in every state. You do not need to be a U.S. citizen or hold a green card, but you will need a U.S. registered agent and an EIN.
Do I need a U.S. address to form an LLC?
You do not need a personal U.S. address, but the LLC itself needs a U.S. registered-agent address in the state of formation and usually a U.S. business address for banking, payment processing, and tax correspondence.

Do I need a registered agent for my LLC?
Yes. Every U.S. state requires an LLC to name a registered agent with a physical street address in the state of formation. The agent receives legal notices and state correspondence during business hours.
What happens if I miss my LLC annual report?
The state will first charge a late fee, then list the LLC as 'not in good standing,' and eventually administratively dissolve it. Once dissolved, the LLC loses liability protection and its name can be taken by someone else.
How do I dissolve an LLC I no longer need?
To formally close an LLC, file Articles of Dissolution with the state, settle outstanding debts and taxes, file a final federal and state tax return, and cancel the EIN with the IRS. Skipping these steps keeps fees accruing.

What is an operating agreement and do I need one?
An operating agreement is an internal document that defines ownership, management, and decision rules for your LLC. Most states do not require you to file one, but you should have one regardless — banks, investors, and partners routinely ask for it.
What is the difference between an LLC and a C Corp for founders?
LLCs are simpler, pass-through taxed, and flexible — good for solo founders, service businesses, and cash-flow companies. C Corps are more rigid but issue stock and handle outside investors — required for most venture-backed startups.
